Forming an Arizona corporation
In order to form a corporation in Arizona, you will need to take the following steps, or just complete our worksheet and we will form the corporation for a minimal fee.
- Decide upon the incorporators and initial Board of Directors of the company.
- Choose a Statutory Agent. We will act as your statutory agent for a fee of $75 per year after the first year. An agent can be any person over 18 that has been a resident of Arizona over three years.
- Select a fiscal year end. (Usually, this will be the calendar year end of December 31.)
- Prepare Articles of Incorporation.
- File the Articles of Incorporation with the Arizona Corporation Commission.
- File Form SS-4 with the Internal Revenue Service in order to obtain an Employer Identification Number.
- File an Arizona Joint Tax Application with the Arizona Department of Revenue in order to obtain a state Employer Identification Number.
- If your business will be operating in the cities of Phoenix and Scottsdale and you require a sales tax license, you will be required to complete a separate form to obtain that license.
- Prepare bylaws for the corporation.
- Hold an organizational meeting of the Board of Directors to elect corporate officers, approve the corporate bylaws, approve the establishment of a bank account, issue shares and conduct any other initial business.
- Open a bank account in the name of the corporation with the federal employer identification number.
