What is This?

A simple option provided to new clients is the chance to get big picture advise on your situation for a fixed fee as an initial consultation.  Many times you just need to know what is going on, not to enter into an extensive research situation costing thousands of dollars.  I will spend one hour with you at a reduced rate to explain your situation and the options you have.  This is like having an attorney on staff for quick questions and general guidance on business and legal issues.

Mediation

I can provide services to resolve business disputes with partners, members, third parties, vendors or any commercial situation needing resolution. Mediation is usually non binding and is an attempt to arrive at a settlement of the dispute. The Mediation takes place at my office with each party (and their attorneys, if appropriate) and I attempt to discuss solutions in a confidential manner.

Arbitration

If the mediation fails or if the parties desire to provide for a binding decision you can schedule an arbitration. An arbitration is like a trial that is done in a private, confidential setting. Each party presents their side of the story with exhibits and legal arguments and I will determine findings of fact and arrive at a decision on the case.

Form Corporations

Corporate Counsel

Corporations and their members, officers and directors need ongoing advice on matters that could provide legal difficulties down the road (terminating an employee, default on a loan, failure of a customer to pay, sexual harassment, compliance with laws, taxation issues, etc.). I act in a capacity to give advice on an ongoing basis to make sure a small issue does not turn into a large problem. Most issues can be resolved or avoided if early advice is sought.

Draft Transaction Documents

Transaction documents are contracts that you will need in the conduct of your business. These are sales contracts, invoices, terms and conditions, employment agreements, vendor contracts and any other applicable agreements to conduct your business. I can provide the contract or can review a proposed contract that someone is presenting to you. This is a risk assessment analysis and an attempt to provide as much protection for you as possible and
minimize any future risk to your business.

Buy Sell Businesses, Mergers

I can assist with the sale, purchase or merger of a business, preparing all documents and counseling you along the way. Many persons do not utilize an attorney at the early stages and end up in litigation because either what they bought was not what they understood or what they sold was not to a qualified buyer. The structure of the buy or sale is absolutely critical from a taxation and operating point of view. Many of the arrangements involve some sort of financing that I can discuss with the client in terms of what is typical and what the structure of the sale or purchase should be.

Mergers can be done between various corporations: LLC's, LLC's and C Corporations, S Corporations and LLC's, C Corporations and can be done in a variety of forms: triangular, direct, subsidiary and can fit the needs of the parities. These are more complex and involve issues of taxation and various state laws depending on where the corporations are.
